Vancouver, British Columbia – June 9, 2026 – AxiNorth Industries Corp. (“AxiNorth” or the “Company”) is pleased to announce that it has entered into a non-binding Letter of Intent (“LOI”) with Alectric Renewables Inc. (“Alectric Renewables”) to establish a strategic partnership focused on the joint origination, development, financing, and construction of distributed and large-scale energy infrastructure projects across North America.

The proposed partnership combines AxiNorth’s development platform, capital structuring expertise, Indigenous partnership framework, and edge compute AI strategy with Alectric Renewables’ renewable energy development, engineering, procurement and construction (“EPC”), commissioning, and project execution capabilities, including utility-scale solar developments of up to 80 MW AC and large-scale commercial and industrial rooftop solar projects.

Under the terms of the LOI, the parties intend to collaborate on:

• Sub-50 MW solar photovoltaic (“PV”), battery energy storage systems (“BESS”), biomass, and hybrid renewable energy projects;
• Indigenous-led and Indigenous-owned energy infrastructure initiatives;
• AI-driven energy optimization and edge compute applications;
• Utility-scale energy infrastructure projects of up to 80 MW AC, rooftop solar developments, and compute-linked power opportunities; and
• Data centre power and industrial AI offtake solutions.

The LOI establishes a project-by-project pilot phase designed to validate the commercial framework and operational coordination between the parties, with the long-term objective of forming a formal joint venture upon completion of defined milestones.

As part of the pilot phase, the parties intend to jointly pursue:

• One or more sub-50 MW solar and BESS opportunities, as well as a biomass energy project;
• An Indigenous-led energy infrastructure initiative;
• A data centre development opportunity supported by a 65–75 MW solar and BESS power solution; and
• A pilot edge compute AI feasibility initiative.

The LOI also contemplates the establishment of a joint working group focused on edge compute and artificial intelligence applications in energy infrastructure, including transmission optimization, grid capacity management, behind-the-meter compute, and AI-linked data centre power solutions.

AxiNorth and Alectric Renewables further intend to develop frameworks supporting Indigenous economic participation in energy infrastructure projects, with a particular emphasis on solar PV, battery storage, and biomass initiatives aligned with community priorities and long-term economic development objectives.

The LOI is non-binding except for customary provisions relating to confidentiality, governing law, exclusivity (if agreed), and non-circumvention. Definitive agreements remain subject to further negotiation and completion of pilot phase milestones.
